1. General
These Terms and Conditions ("Terms") govern your access to and use of the Oaklux website (oakstagelighting.com) and the purchase of products and services from Oaklux. This website is intended primarily for business purchasers, including distributors, wholesalers, rental companies, venues, integrators, OEM buyers, and other commercial entities.
By accessing our website, submitting an inquiry, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Products and Quotations
All product specifications, images, descriptions, and technical data provided on this website are for informational purposes and may vary from the final product due to ongoing product improvements and customization options.
Quotations provided by Oaklux are valid for 15 days from the date of issue unless otherwise stated in writing. All prices are quoted EXW (Ex Works) Guangzhou, China (Incoterms 2020) unless otherwise agreed in writing. Pricing does not include shipping, insurance, customs duties, or taxes unless explicitly stated.
Product availability, lead times, and specifications are subject to change without prior notice. A binding order is created only when Oaklux issues a written order confirmation or proforma invoice and the agreed commercial terms are accepted by both parties.
3. Orders and Payment
Order acceptance is subject to product availability, credit approval, and final agreement on specifications. Payment terms shall be as specified in the quotation or invoice — typically 30% deposit with 70% before shipment for standard orders, unless otherwise agreed.
Failure to make timely payment may result in order delays, suspension of production, or cancellation. In the event of cancellation, deposits may be non-refundable for custom/OEM orders where production has commenced.
4. OEM / ODM Terms
Custom manufacturing orders (OEM/ODM) require a signed agreement specifying design specifications, quality standards, packaging requirements, delivery timelines, and payment terms.
- Intellectual Property: Customer-provided designs, trademarks, logos, and intellectual property shall remain the sole property of the customer. Oaklux shall not use or reproduce customer IP for any purpose other than fulfilling the agreed order.
- Confidentiality: Both parties agree to keep confidential all proprietary information shared during the collaboration.
- Quality Standards: Oaklux warrants that manufacturing processes and finished products will comply with agreed specifications and quality standards. Customer is responsible for providing clear and complete specifications.
- Minimum Order Quantities (MOQ): OEM/ODM orders are subject to MOQ requirements, which will be communicated during the quotation process.
5. Shipping and Delivery
Shipping terms are EXW (Ex Works) Guangzhou, China (Incoterms 2020) unless otherwise agreed in writing. Risk of loss or damage passes to the buyer upon delivery of goods to the carrier.
Delivery timelines provided in quotations are estimates based on current production schedules and are not guaranteed. Oaklux shall not be liable for delays caused by factors beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, transportation disruptions, supplier delays, or labor disputes.
6. Inspection and Acceptance
Buyer has the right to inspect goods upon receipt. Any claims for damage, shortage, or non-conformity must be reported in writing within 7 days of receipt, accompanied by supporting evidence (photos, videos). Failure to notify within this period constitutes acceptance of the goods.
7. Warranty
Oaklux products are warranted against defects in materials and workmanship for a period of 12 months from the date of shipment, unless otherwise specified in the product documentation or separate warranty agreement.
Coverage: The warranty covers repair or replacement of defective products at Oaklux's discretion.
Exclusions: The warranty does not cover:
- Damage resulting from misuse, improper installation, unauthorized modification, or normal wear and tear
- Products that have been repaired or altered by unauthorized personnel
- Consumable parts (e.g., lamps, batteries) with limited service life
- Damage caused by improper storage, transportation, or handling after delivery
- Damage caused by force majeure events, power surges, or incompatible electrical systems
Claims Process: Warranty claims must be submitted with supporting evidence (detailed description, photos, videos). After evaluation, Oaklux will, at its discretion, repair, replace, or issue credit for defective products. The buyer is responsible for return shipping costs for warranty evaluation unless otherwise agreed.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Oaklux shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, business interruption, loss of data, or cost of substitute products, arising out of or related to the use of our products or services.
Our total liability for any claim arising under these Terms shall not exceed the total amount paid by the buyer for the specific product or service giving rise to the claim.
9. Intellectual Property
All content on this website — including text, graphics, logos, product images, technical drawings, and brand assets — is the property of Oaklux or its licensors and is protected by applicable intellectual property laws, including Chinese Copyright Law and international IP treaties.
You may not reproduce, distribute, modify, display, or create derivative works of any website content without our prior written permission.
10. Export Compliance
Buyer agrees to comply with all applicable export control laws and regulations, including those of the People's Republic of China and international sanctions regimes. Buyer warrants that products purchased from Oaklux will not be re-exported to any sanctioned or embargoed destination without proper authorization.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.
Any disputes arising under or in connection with these Terms shall first be resolved through friendly negotiation. If negotiation fails, disputes shall be submitted to mediation via CIETAC (China International Economic and Trade Arbitration Commission) in Guangzhou, and the decision shall be final and binding.
12. Changes to Terms
Oaklux reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our website or services after changes are posted constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
